Item 5.07 Submission of Matters to a Vote of Security Holders.
On December 30, 2019, Aspen Group, Inc. (the Company) held its Annual Meeting of Shareholders (the Annual Meeting). At the Annual Meeting, the Companys shareholders voted on (i) the election of seven members of the Board of Directors for a one-year term expiring at the next annual meeting of shareholders (Proposal 1); (ii) approval of amendment to the Companys 2018 Equity Incentive Plan (Proposal 2); and (iii) ratification of the selection of Salberg & Company, P.A. as the Companys independent registered public accounting firm for the fiscal year ending April 30, 2020 (Proposal 3), as described in more detail in the Companys definitive Proxy Statement filed with the Securities and Exchange Commission on November 5, 2019.
Set forth below are the voting results on each matter submitted to the shareholders at the Annual Meeting.
Proposal 1. The Companys shareholders voted to elect the following seven individuals as directors to hold office until the next annual meeting of shareholders.

C. James Jensen
Malcolm F. MacLean
Proposal 2. The Companys shareholders voted to amend the Companys 2018 Equity Incentive Plan to increase the number of shares of common stock available for issuance under the Plan from 500,000 to 1,100,000 shares.
Proposal 3. The Companys shareholders voted to ratify the selection of Salberg & Company, P.A. as the Companys independent registered public accounting firm for the fiscal year ending April 30, 2020.
